Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kairos ("we," "us," or "our"), concerning your access to and use of the Kairos web application, including its habit tracking, journaling, decade planner, AI coaching, and related features (collectively, the "Service").

By checking the explicit consent box during registration or checkout, or by accessing the Service, you signify your acceptance of these Terms. If you do not agree to these Terms, you may not use the Service.

Provider Information

The Service is operated by an independent professional registered under the laws of the Czech Republic:

• Project: Kairos (Currently in pre-launch testing)
• Location: Prague, Czech Republic
• Status: Informational / Waitlist phase. Formal commercial registration details will be published here prior to the platform officially launching and accepting payments.

Description of Service and AI Limitations

Kairos synthesizes your actions, habits, and journal entries to deliver personalized organizational insights. The Service utilizes artificial intelligence to generate daily briefings and habit recovery suggestions based on the data you provide.

Due to the probabilistic nature of machine learning, AI-generated content may occasionally be inaccurate, inappropriate, or lack necessary context. You agree to independently evaluate the accuracy and relevance of any AI-generated insight before acting upon it.

Accounts and Eligibility

Age Requirement: You must be at least 16 years of age to create an account. If we discover that an account has been created by a user under 16 without verified parental consent (as required by GDPR Article 8), we will terminate the account and delete the associated data.

Account Security: You are entirely responsible for maintaining the confidentiality of your credentials. You agree to notify us immediately of any unauthorized use of your account. We will not be liable for any loss arising from your failure to secure your credentials.

Subscriptions and Lifetime Pass

Kairos offers a free "Basic" tier and paid premium tiers ("Pro", "Limitless", and a "Lifetime" pass).

• Billing: Subscription fees are billed in advance via our authorized merchant of record, Stripe. Your subscription automatically renews unless cancelled prior to the end of the current billing cycle. You may cancel at any time via your account settings.
• Price Changes: We reserve the right to change our subscription prices. We will notify you at least 30 days before any price change takes effect. If you do not agree to the new price, you may cancel your subscription before the next billing cycle.
• The "Lifetime" Pass: A Lifetime pass grants you access to the specified features for the operational lifespan of the Kairos Service. If we are forced to permanently discontinue the Service within three (3) years of your Lifetime pass purchase, you are entitled to a prorated refund based on the remaining time in that 3-year period. After three years, the pass is considered fully delivered, and no refunds will be issued upon discontinuation.

EU Consumer Rights and Withdrawal Waiver

Under the EU Consumer Rights Directive, consumers residing in the European Union generally possess a 14-day right of withdrawal from remote purchases. However, an exception applies to the supply of digital content not supplied on a tangible medium.

Content and IP Ownership

Your Content & AI Outputs: You retain all intellectual property rights to the text, habits, journals, and data you input into the Service ("User Content"). Furthermore, you own the rights to the specific insights, briefings, and summaries generated for you by the AI Coach based on your User Content ("Outputs").

License to Us: To operate the platform, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, and securely transmit your User Content to our AI sub-processors solely for the purposes of: (a) providing the Service to you, (b) preventing fraud or abuse, (c) debugging and security monitoring, and (d) complying with legal obligations. We do not use your private journal entries to train public AI models.

Our Property: The Service itself, including its original source code, user interface, methodology (e.g., the Time Buckets architecture), and algorithms, are the exclusive intellectual property of Kairos.

Acceptable Use Policy

You agree not to misuse the Service. Specifically, you shall not:

• Attempt to reverse-engineer, decompile, or discover the underlying AI prompting structure of the Service.
• Bypass or exploit security measures, rate limits, or access controls.
• Use automated scripts or scraping tools to interact with the Service.
• Share your account credentials with third parties or resell access to the Service.

Third-Party Services and Sub-Processors

We rely on trusted third-party providers (Sub-processors) for essential functionality. This includes Stripe for payment processing, hosting providers (e.g., Oracle Cloud) for database storage, and external Large Language Model providers (e.g., OpenAI or Google) to process your data for AI coaching. Our relationships with these processors are governed by Data Processing Agreements (DPAs) in compliance with the GDPR. Termination

Termination by Us: If you materially breach these Terms (e.g., violating the Acceptable Use Policy), we may suspend or terminate your account with written notice and without refund. We may also terminate your Service without cause upon 30 days' written notice; in such an event, you will receive a prorated refund for any prepaid, unused time.

Termination by You: You may terminate your account at any time via your account settings. Upon termination, we will delete your User Content in accordance with the retention schedule defined in our Privacy Policy.

Warranty Disclaimer

SUBJECT TO YOUR MANDATORY STATUTORY RIGHTS AS A CONSUMER, THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE". WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, INTENTIONAL MISCONDUCT, OR GROSS NEGLIGENCE. Furthermore, if you are an EU Consumer, these Terms do not limit your mandatory statutory rights or liability arising from our breach of fundamental contractual obligations.

TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KAIROS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, PROFITS, OR REVENUE) ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF FIFTY EUROS (€50) OR THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

To the extent permitted by consumer protection laws, you agree to indemnify and hold harmless Kairos and its creator from any claims, liabilities, damages, or costs (including reasonable attorneys' fees) arising out of your violation of these Terms, your gross negligence, or any third-party claim resulting from your User Content.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Czech Republic, without regard to conflict of law principles.

EU Consumers: If you are a consumer residing in the European Union, you benefit from any mandatory provisions of the law of the country in which you are resident. You may bring a claim to enforce your consumer protection rights in connection with these Terms in the courts of the Czech Republic or in the courts of your resident EU Member State.

Changes to the Terms

We reserve the right to modify these Terms. If a revision meaningfully reduces your rights or changes pricing obligations, we will provide at least 30 days' advance notice via the email associated with your account. If you do not agree to the material changes, you have the right to terminate your agreement with us before the changes take effect and receive a prorated refund for any prepaid, unused time. Your continued use of the Service after the effective date constitutes your acceptance of the new Terms.
